1. Acceptance of Terms
By accessing or using the website, services, and applications provided by WayVIP ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree to these Terms, you may not access or use the WayVIP platform.
IMPORTANT: These Terms contain a binding arbitration clause and class action waiver that affect your rights. Please read them carefully.
2. Description of Service
WayVIP provides an online AI-powered platform including writing assistants, programming code generators, translators, and other productivity tools. The service may be modified, updated, or temporarily suspended at any time without prior notice, at our sole discretion. We reserve the right to add features, set usage limits, or monetize previously free features.
3. User Accounts & Registration
To access certain features of WayVIP, you must register for an account. By creating an account, you agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your password and accept all risks of unauthorized access to your account.
- Promptly notify us at security@wayvip.com if you discover or suspect any security breaches related to your account.
- Take full responsibility for all activities that occur under your account.
4. Acceptable Use Policy
You agree not to use the WayVIP platform for any unlawful purpose or in any way that violates these Terms. Forbidden actions include, but are not limited to:
- Using the service to generate harmful, threatening, abusive, harassing, defamatory, obscene, or racially offensive content.
- Attempting to reverse engineer, decompile, or extract source code from any portion of the platform.
- Automating access to our platform via bots, scrapers, or other automated mechanisms without explicit written consent.
- Bypassing or attempting to bypass word limits, usage quotas, or subscription barriers.
- Using AI-generated content to deceive others, create fake reviews, or run scam campaigns.
5. Subscriptions, Fees, & Billing
WayVIP offers a selection of Free and paid Pro subscriptions.
- Pricing: Prices for our paid subscriptions are outlined on our Pricing Page. We reserve the right to adjust billing rates at the end of billing cycles.
- Billing Cycle: Subscriptions are billed on a recurring monthly or annual basis, depending on your selection. Payment is collected automatically via Stripe.
- Cancellations: You can cancel your subscription at any time. Cancellations apply to the next billing cycle; no partial refunds are issued for the current period.
- Refund Policy: If you are unhappy with the service, you may request a refund within 7 days of your first subscription payment, provided your usage does not exceed 10% of the Pro tier monthly allowance.
6. Intellectual Property Rights
Our IP: The WayVIP platform, including design systems, logos, brand assets, source code, and algorithms, is protected by copyright and intellectual property laws and remains the exclusive property of WayVIP Technologies, Inc.
Your Output: Subject to your compliance with these Terms, you own all text, code, translations, and other content generated by you using our platform. WayVIP does not claim any ownership rights over your generated outputs.
7. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WAYVIP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WAYVIP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF YOUR USE OF THE SERVICE.
9. Governing Law & Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of California, USA, without giving effect to any choice or conflict of law provision. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the federal or state courts located in San Francisco, California.
10. Changes to Terms
We may revise these Terms of Service from time to time. When we make updates, we will update the "Last Updated" date at the top of this page. If the changes are material, we will provide you with prominent notice, such as via email or an in-platform notification. Your continued use of the platform after the effective date of the revised Terms constitutes your acceptance of the changes.
